Product draft for legal review
Last updated August 23, 2026On this page
These expanded draft terms describe the product, account, data, AI, integration, security, payment, and termination topics a complete HireHint agreement must cover.
They are intentionally honest about the remaining legal boundary: governing law, dispute terms, commercial commitments, privacy schedules, liability allocation, and formal notices require owner and qualified legal approval before these terms can become externally effective.
Agreement and contracting entity
These product terms are a draft framework for access to HireHint websites and services. They are not an externally effective customer agreement until approved by the company owner and qualified legal counsel and presented with an effective date.
For this draft, “HireHint” means hirehint LLC, a Virginia limited liability company formed on October 18, 2024, with a principal office at 705 S College Ave # 1007, Bluefield, VA 24605-1640, USA.
An order form, plan record, data-processing addendum, service schedule, or other signed document may add to these terms. The final agreement must say which document controls if two approved documents conflict.
The HireHint services
HireHint provides software for recruiting, job and candidate management, hiring-team collaboration, employee records and operations, people workflows, reporting, and permission-scoped intelligence. Available modules, limits, support, storage, providers, and service commitments depend on the customer’s approved package, order, configuration, and access.
Customer workspace
An organization may configure its structure, roles, scopes, jobs, workflows, employee relationships, templates, reports, and supported integrations. A visible feature or catalog entry is not a promise that a provider, plan, or external action is active.
Public and participant experiences
The service may include careers pages, applications, candidate interactions, employee self-service, invitations, and other limited participant experiences. The customer remains responsible for the notices, content, instructions, and lawful purpose it presents to those people.
Trials, previews, and evaluation access
A trial, preview, beta, sample workspace, or teaching control may have limited features, data, support, duration, or reliability and may be changed or ended. Sample and teaching content is illustrative and must not be treated as a real customer, candidate, employee, provider, or completed transaction.
A trial does not authorize external publication, messages, assessments, interviews, offers, signatures, payments, or provider actions unless the relevant control, recipient, configuration, and terms explicitly permit that action.
Acceptable use
A customer or user must not use HireHint to violate law, another person’s rights, or the security or integrity of the service.
- Do not access or attempt to access another organization, identity, record, route, API, provider, or permission that you are not authorized to use.
- Do not probe, disable, evade, overload, reverse engineer, or interfere with security, rate limits, audit controls, service operation, or another user’s access, except under an expressly authorized security-testing program.
- Do not upload malicious code, unlawfully sourced information, prohibited content, or material that infringes privacy, confidentiality, intellectual-property, or employment rights.
- Do not use people information for unlawful discrimination, surveillance, harassment, deception, or an automated decision that applicable law prohibits.
- Do not send an email, text message, invitation, assessment, calendar event, offer, signature request, or provider action without the necessary authority, configuration, recipient, and lawful basis.
Customer responsibilities
- Determine the lawful purpose for collecting candidate and employee information and provide all notices, choices, and consents required for that purpose.
- Configure roles, organizational scope, hiring teams, reporting lines, workflow permissions, confidential fields, integrations, retention, and exports appropriately.
- Verify the accuracy, relevance, and fairness of job criteria, evaluations, reports, AI-assisted output, and employment decisions.
- Maintain appropriate endpoint, network, identity-provider, email-domain, and connected-service security.
- Respond to candidate, employee, user, regulator, or third-party requests concerning customer-controlled content.
- Comply with employment, labor, accessibility, privacy, communications, records, and anti-discrimination requirements that apply to its use.
Hiring and employment decisions
HireHint organizes information and supports collaboration; it is not the employer, recruiter of record, legal adviser, payroll provider, background-check provider, or decision maker merely because a feature appears in the service.
The customer is responsible for job requirements, candidate treatment, interview and assessment practices, accommodations, compensation, offers, hiring, onboarding, employee actions, approvals, performance processes, and required human review.
Customer data and processing instructions
As between the parties, the customer retains its rights in content it or its authorized users submit to the service. The customer instructs HireHint to host, organize, display, transmit, secure, and otherwise handle that content only as needed to provide the configured service, approved support, and the obligations in the final agreement.
The customer represents that it has the rights and authority needed to provide the content and instructions. HireHint should not acquire ownership of customer candidate or employee records merely by processing them.
A legally reviewed data-processing addendum must define processing roles, security measures, subprocessors, assistance, transfers, deletion, audit rights, and incident notice before production customer processing.
AI-assisted features
AI-assisted output may summarize permission-scoped records, identify missing context, help draft content, or suggest a next step. Output can be inaccurate, incomplete, biased, or unsuitable and must be reviewed by an authorized person before it is relied upon or shared.
Customers must not use AI-assisted output as the sole basis for a consequential hiring or employment decision when human review or another safeguard is required. Customers remain responsible for input rights, decision criteria, notices, impact assessments, accommodations, records, and final actions.
A provider-dependent AI control is unavailable unless its required service, permission, evidence, and customer configuration are active. No catalog entry or loading state proves that information was sent to a provider.
Third-party services and integrations
A customer may choose to connect identity, job-board, communications, calendar, assessment, file, analytics, payment, or other third-party services. Separate provider terms and privacy practices apply, and the customer is responsible for reviewing requested permissions and maintaining its provider account.
HireHint is not responsible for a third party’s independent service, content, availability, changes, or use of information except to the extent the final approved agreement expressly states otherwise. Disabling an integration may not delete information already delivered to that provider.
Plans, fees, taxes, and payment
The applicable order, checkout, or plan record must state the subscription term, included modules, authorized usage, fees, currency, invoicing, payment timing, taxes, overages, renewal, cancellation, and refund terms. A public feature description does not override an approved order.
HireHint must not charge, renew, suspend for non-payment, or change a paid package until those rules and the responsible billing contact have been approved and presented to the customer.
Binding pricing, renewal, tax, late-payment, refund, and cancellation clauses remain subject to commercial and legal approval.
Intellectual property and feedback
HireHint and its licensors retain their rights in the service, software, product design, documentation, models, templates, and materials they provide, excluding customer data and third-party material. Access to the service is a limited right to use the approved features during the applicable term, not a transfer of ownership.
A customer may provide suggestions or feedback. The final agreement should state how HireHint may use that feedback without exposing customer confidential information or personal data.
Confidentiality
Each party may receive non-public business, technical, security, candidate, employee, pricing, or product information from the other. The final agreement should require appropriate protection, use only for the agreed purpose, limited disclosure to people who need it, and return or deletion when required.
Confidentiality exceptions, compelled-disclosure procedures, duration, and remedies must be defined in the approved customer agreement. These draft terms do not change any separate signed confidentiality agreement.
Security, availability, and changes
HireHint uses technical and organizational controls designed to protect identities, organizations, permissions, records, and supported workflows. Customers remain responsible for secure role assignment, endpoints, exports, connected services, and actions taken by their users.
HireHint may maintain, improve, replace, or discontinue a feature while preserving the commitments in an approved order. Any binding uptime, support, backup, recovery, maintenance, service-credit, or disaster-recovery commitment must appear in a separately approved agreement or trust document.
Suspension and protective restrictions
HireHint may need to restrict an identity, action, provider, record, or workspace to protect the service, prevent suspected abuse, respond to a security event, comply with law, address an urgent risk, or follow an authorized owner instruction. A restriction should be scoped to the risk where reasonably possible.
The final agreement must define notice, investigation, restoration, emergency access, payment-related suspension, and customer remedies. A concealed not-found or denied response may be used where revealing a protected resource would itself expose information.
Term, termination, export, and deletion
The applicable order must define when access begins, the subscription or trial term, renewal, termination rights, and the effect of termination. The final agreement should also define any cure period, outstanding payment, survival, and transition assistance.
Before closure, an authorized customer should be able to request any supported export identified in the agreement. The approved retention schedule must define when active records, backups, logs, legal holds, and audit evidence are deleted, anonymized, or retained.
Warranties, liability, and indemnification
The final agreement must contain legally reviewed warranty, disclaimer, liability-cap, excluded-damages, risk-allocation, and indemnification clauses that fit the product, insurance, jurisdiction, customer type, and commercial terms.
This draft intentionally does not invent those clauses. It does not promise uninterrupted or error-free operation, legal compliance for a customer’s use, a hiring outcome, an employment outcome, or the accuracy of AI-assisted output.
Do not publish placeholder liability or indemnification language as an effective contract. These provisions require owner and qualified legal approval.
General terms, notices, and governing law
The final agreement should address assignment, subcontracting, force majeure, waiver, severability, independent contractors, third-party beneficiaries, export controls, public-sector requirements, notices, electronic acceptance, order of precedence, and the entire agreement.
Formation in Virginia does not by itself establish the governing law, venue, arbitration, class-action, jury-waiver, or dispute process for HireHint customers. Those provisions must be selected and approved for the intended markets before publication.
Formal notice channels must be distinguished from ordinary product support. Until an approved legal-notice address is published, HireHint Support can route a question but should not be described as completing a contractual notice requirement.
